The APA standard independent contractor agreement was recently updated (August 2026). The Office of General Counsel asks divisions to use the Revised Independent Contractor Agreement Template (DOC, 94KB)opens in new window at their next opportunity (for example, when an agreement comes up for renewal or when a new agreement is being created).

Divisions are encouraged to begin with the template. Its standard terms have already been approved, which can shorten the contracting and legal review process. Divisions may revise the template, but they should show substantive changes in Track Changes and submit the redline for OGC review. This is for an individual, not for a company.

When filling out, be mindful of contractor classifications under the Internal Revenue Service and Department of Labor and ideally make payment based on deliverables.

Divisions are reminded that APA legal review is required by Association Rule 100-1.7 for any contract of more than $10,000:

100-1.7 A Division may execute contracts or negotiate grants with outside entities. Such contracts or grants (with the exception of those for routine, annually recurring events or expenses, e.g., meetings) which provide for payment or receipt by a Division or the Association of funds, goods, services or other value in excess of $10,000 must be submitted to the APA Executive Office for prior legal and financial review. The legal and financial reviews will be conducted in a timely manner.

In addition, APA recommends legal review of any agreement for any dollar amount. For help with review, please contact your division engagement liaison.
